Elon Musk’s $44 billion deal to take over Twitter will not “move forward” unless the CEO of the tech company can prove the number of fake or spam accounts on the platform.

Musk tweeted on Tuesday that his cash buyout offer for Twitter was based on the company’s filings with the Securities and Exchange Commission on the number of fake or spam accounts on the platform “being accurate.” Twitter has disclosed that it estimates spam or fake accounts represent less than 5% of users since 2013, but Musk said he believes that number could be much higher and wants Twitter CEO Parag Agrawal to “show proof.”

The article goes on to state the following:

“20% fake/spam accounts, while 4 times what Twitter claims, could be *much* higher. My offer was based on Twitter’s SEC filings being accurate. Yesterday, Twitter’s CEO publicly refused to show proof of <5%. This deal cannot move forward until he does,” Musk tweeted on Tuesday.


The tweet was posted in the wee hours of the morning, after Musk engaged in a debate on Twitter with the company’s CEO Parag Agrawal over the percentage of fake accounts.

Agrawal had posted a series of tweets, insisting the number of fake accounts is well under 5%.  Musk had mockingly responded with a poop emoji.

“Seems like Twitter should welcome external validation if their claims are true,” Musk wrote.

Conservative singer John Rich tweeted, “I have to think @elonmusk knew this was the case before he moved on Twitter. If Twitter lied about how many actual users they have to the SEC, we’re looking at a company that has perpetuated fraud on its shareholders and advertisers. Big trouble for the Twitter commies.”

“Absolutely,” responded Musk.

  1. Musk is very intuitive in his seeking truth from Twitter. Twitter is not being truthful and should be taken to account for their transgressions. Corruption is being investigated from every angle, and if your eyes are open you see it is being outed by all. I agree with Musk for seeking the truth.

  3. Sadly I’m NO Elon but i do know the rats at twitter are HUGE liars . Give ’em.HELL Elon. It would be comical if he said ” ok fine in that case i will have MY team.investigate BEFORE i pay you , and wilh EVERY bot/ fake account THEY find thus increasing the percentage from your data, my price goes DOWN with each one found” i bet they’d cooperate real fast !!
